You can Install Windows Vista Upgrade on a blank hard drive.
Boot from the Windows Vista Upgrade CD, when it ask for the product key leave it blank and continue. Uncheck the box, Activate when online. After Installation is complete boot into Windows Vista and Install Windows Vista Upgrade CD this time entering the product key.
